Terms of Service

1. Acceptance of Terms

By creating an account, licensing the software, or engaging the service (collectively, the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a binding legal agreement between you and GetLatest AI, the operator of Helix.

2. Description of Service

Helix is offered in two forms:

  • Helix software. A platform you license and operate in-house, including the agent system, the approval queue, and the operator portal.
  • Helix service. A managed engagement in which GetLatest AI operators run Helix on your behalf and deliver marketing outcomes (signals, outreach, content, community engagement, weekly synthesis).

In both cases, you remain fully responsible for all activity conducted through your account.

3. Eligibility

You must be at least 18 years old and authorized to enter into agreements on behalf of the organization you represent. By registering, you represent that you meet these requirements and that you are authorized to grant access to the third-party platforms you connect.

4. Acceptable Use

You agree not to:

  • Use Helix to send unsolicited spam, deceptive outreach, or content that violates applicable law
  • Violate the terms of service or platform policies of any connected third-party service (Gmail, LinkedIn, Reddit, X, ad platforms, CRMs, etc.)
  • Use Helix to target individuals or groups in ways that constitute harassment, discrimination, or fraud
  • Attempt to reverse-engineer, scrape, or misuse the Service
  • Share your operator account with others; each operator must have their own account
  • Use Helix to process personal data of EU/UK residents without honoring your obligations under GDPR/UK-GDPR (we will assist as a processor)

5. Subscriptions, Engagements, and Billing

Software licenses are billed monthly or annually based on the plan you select. Service engagements are governed by a separate engagement agreement that specifies scope, deliverables, fees, and term.

You may cancel a software license at any time; access continues until the end of the current billing period. No refunds are issued for partial periods. Pricing may change with 30 days notice to your registered email.

Failed payments will be retried per our payment processor's schedule. If recovery fails, your account moves to a suspended state and most agents pause until billing is updated.

6. Outreach and Communications Sent on Your Behalf

When you connect Gmail, Outlook, LinkedIn, Reddit, or another platform via OAuth, Helix can draft messages and send them under your authorization. Every outbound message lands in an approval queue before it sends. You retain full review and approval rights. You are solely responsible for the content of messages sent through your account, for compliance with anti-spam laws (CAN-SPAM, CASL, GDPR), and for honoring unsubscribe and recipient-preference signals.

7. Ownership and Licensing

You retain ownership of your company profile, ICPs, offers, brand voice, prospect data, content drafts, and approval history. You grant us a limited license to use this data solely to operate the Service for you and to improve the Service's capabilities in aggregate, anonymized form.

We retain ownership of the Helix software, the agent designs, the targeting methodology, and all associated intellectual property. You receive a non-exclusive, non-transferable right to use the Service for the duration of your engagement.

8. Disclaimer of Warranties

The Service is provided "as is." We do not guarantee specific pipeline outcomes, revenue, conversions, or rankings. AI-generated content may contain errors. You are responsible for reviewing all approved drafts before they send.

9. Limitation of Liability

To the maximum extent permitted by law, GetLatest AI shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to lost revenue, reputational harm, deliverability issues, or third-party platform account restrictions.

10. Termination

You may delete your account at any time. We may suspend or terminate your account if you violate these Terms, with or without notice. Upon termination, your data is deleted per our Privacy Policy. Service engagements are governed by the termination terms of the associated engagement agreement.

11. Changes to Terms

We may update these Terms at any time. We will notify you by email at least 14 days before material changes take effect. Continued use after that date constitutes acceptance.
